Consignment Agreement
Version v1.2 (September 2026)
This Consignment Agreement ("Agreement") is between Moose Pack Ventures LLC, doing business as Sir Worthy™, a Moose Pack Inc.™ company ("Sir Worthy," "we," "us"), and the person listing an item ("Consignor," "you"). By checking the agreement box and typing your name as your electronic signature, you agree to these terms for each item you consign.
1. WHAT YOU ARE AGREEING TO
You are authorizing Sir Worthy to offer your item for sale — by fixed price ("Buy Now") or by timed auction — through sirworthy.com and, at our discretion, at live Sir Worthy auction events. This Agreement covers each item you list and remains in effect for that item until the item sells, is withdrawn, or the consignment period ends.
2. YOUR REPRESENTATIONS
You represent and warrant that:
(a) You own the item free and clear, or are fully authorized to sell it;
(b) The item is not stolen, and is not subject to any lien, loan, dispute, or claim;
(c) You have described the item honestly and disclosed every material defect, repair, restoration, or reproduction you are aware of;
(d) The item may lawfully be sold and shipped, and is not prohibited or restricted property (including but not limited to protected cultural property, ivory, or items requiring export permits);
(e) All information and photographs you provide are accurate and are yours to provide.
You are responsible for these representations. If an item is later found to be stolen, misrepresented, or not yours to sell, you agree to indemnify Sir Worthy for all resulting losses, refunds, costs and reasonable attorney's fees.
3. COMMISSION AND FEES
- Seller's commission: fifteen percent (15%) of the hammer price or Buy Now price, deducted from your proceeds.
- Buyer's premium: fifteen percent (15%), added to the winning bid and paid by the buyer. The buyer's premium belongs to Sir Worthy and is not part of your proceeds.
- There is no fee to list. We are paid only when your item sells.
- Optional services (third-party authentication, grading, professional photography, shipping) are charged at cost and only with your prior written approval.
4. SETTLEMENT — HOW AND WHEN YOU ARE PAID
Buyers pay Sir Worthy. We hold consignor funds separately from our operating funds. Your net proceeds are released upon the buyer's acceptance of the item — that is, once the buyer's payment has cleared and the item has been delivered and accepted (delivery without a rejection or dispute raised constitutes acceptance).
If the buyer refuses or returns the item: the buyer is refunded only after (a) the item has been returned to and received by the seller, and (b) the seller has inspected it and signed off that it is in the condition it was shipped. No refund is issued before that sign-off.
If a shipping-damage, loss, or other insurance claim arises — or any investigation is opened (internal, carrier, or law-enforcement): the claim or investigation must be resolved first. Any refund to the buyer is issued only after it is settled, and payouts are made from or adjusted by the claim proceeds as appropriate. Payment is made by the method you select at signing. If a buyer defaults or a payment is reversed, the sale is void and the item is returned to consignment status; no proceeds are owed for a sale that did not complete.
5. RESERVES, PRICING AND WITHDRAWAL
Auction listings may carry a reserve (minimum acceptable price) agreed in advance; absent an agreed reserve, the item sells to the highest bid. You may withdraw an unsold item at any time before a bid is placed or a purchase is made, at no charge. Once a bid has been placed or a Buy Now purchase completed, the sale is binding and the item may not be withdrawn. Withdrawal after bidding has begun may incur a fee of 10% of the reserve or low estimate.
6. APPRAISALS, AUTHENTICATION AND ESTIMATES
Appraisals, estimates and grades provided by Sir Worthy — including AI-assisted appraisals — are opinions of value for guidance only. They are not guarantees of authenticity, condition, grade, or of any sale price. Sir Worthy certification records that an item was examined, photographed and registered by us; it is not a substitute for third-party authentication and does not warrant that a signature or item is genuine. Third-party authentication (PSA, Beckett, JSA and similar) is performed by independent companies whose opinions are their own.
7. CUSTODY, CARE AND RISK
Items in our physical possession are handled with reasonable professional care. Sir Worthy is not an insurer. Except for loss or damage caused by our gross negligence or willful misconduct, risk of loss remains with you, and our total liability for any item is limited to the lesser of the item's low estimate or one thousand dollars ($1,000). You are encouraged to maintain your own insurance. Items shipped to or from us are at your risk and should be insured by the shipper.
8. DESCRIPTIONS, PHOTOGRAPHY AND MARKETING
You grant Sir Worthy a non-exclusive, royalty-free license to photograph, describe, catalogue and publicly display the item — including in our registry, catalogs, website, printed materials, advertising and social media — before, during and after the sale. Sir Worthy owns the photographs, catalog copy and certificates it produces.
9. UNSOLD ITEMS
If an item does not sell within the consignment period (default: ninety (90) days for Buy Now listings; one auction cycle for auction listings), we may, with your approval, relist it, reduce the price, or return it. Items not retrieved within one hundred eighty (180) days after written notice may be sold, donated or disposed of at our discretion to recover storage costs.
10. TAXES
You are responsible for any income, capital gains or other taxes arising from your sale. Sir Worthy collects and remits applicable sales tax on transactions where required. You may be asked to provide a W-9 or equivalent tax information before payment.
11. DISPUTES AND GOVERNING LAW
This Agreement is governed by the laws of the State of Arizona. Any dispute will first be addressed in good faith between the parties. If unresolved within thirty (30) days, disputes will be settled by binding arbitration in Maricopa County, Arizona, under the rules of the American Arbitration Association, except that either party may bring a claim in small claims court. The parties waive any right to a jury trial or to participate in a class action.
12. GENERAL
This Agreement, together with the Sir Worthy Terms & Conditions and Privacy Policy, is the entire agreement between you and Sir Worthy regarding consigned items. If any provision is unenforceable, the remainder stays in effect. We may update this Agreement; changes apply to items consigned after the update. Your electronic signature — checking the box and typing your name — has the same legal effect as a handwritten signature.
13. ACKNOWLEDGEMENT
By signing, you confirm that you have read and understood this Agreement, that you are at least 18 years old, that you own or are authorized to sell the item, and that you accept the 15% seller's commission and the settlement terms above.
